4. Orders, pricing, and payment
- Pricing is published on the Site and is exclusive of VAT and any applicable taxes, which will be charged in addition where required.
- Orders are placed by emailing us via the "Buy Access" flow. An Order is binding only when we confirm acceptance in writing and you have paid in full.
- Payment is due via the secure payment link we send you. Datasets are delivered the same business day funds clear, by encrypted download link sent to your nominated email address.
- All sales are final. We do not offer refunds once a Dataset has been delivered, save where required by law or as expressly stated in a written sample policy.
5. Licence to use the Dataset
Subject to your full and continuing compliance with these Terms, we grant the Customer a non-exclusive, non-transferable, non-sublicensable, perpetual licence to use the Dataset solely for the Customer's own internal direct-marketing purposes and only within the scope of the marketing consent originally provided by the Data Subjects.
5.1 Permitted use
- Importing the Dataset into the Customer's own CRM, email marketing tool, or call-centre system.
- Sending lawful direct-marketing communications (email, SMS, post, telephone) consistent with the Privacy and Electronic Communications Regulations (PECR) and applicable laws in the recipient's jurisdiction.
- Augmenting the Customer's own first-party data for analytical and segmentation purposes.
5.2 Prohibited use
- Reselling, sublicensing, redistributing, syndicating, or republishing the Dataset, in whole or in part.
- Combining the Dataset with publicly listed deny-lists, scam dialler infrastructure, or any system designed to harass, deceive, or defraud Data Subjects.
- Using the Dataset to compile or enrich a competing data product.
- Failing to honour any opt-out, suppression, or erasure request received from a Data Subject.
6. Customer's data-protection obligations
The Customer acts as an independent data controller in respect of all subsequent processing of the Dataset. The Customer warrants that it will:
- Comply with the UK GDPR, the Data Protection Act 2018, PECR, and any equivalent law in the jurisdictions of the Data Subjects (including the GDPR for EU residents and the FTC's CAN-SPAM Act for US residents).
- Maintain a privacy notice that accurately describes its processing activities.
- Action any Data Subject request received in respect of the Dataset within statutory timeframes.
- Promptly notify us at contact@nrifinancialservices.com of any personal-data breach involving the Dataset.
- Implement appropriate technical and organisational security measures.
7. Our warranties and disclaimers
We warrant that, at the time of supply, the Dataset has been compiled from public sources where the Data Subjects had provided marketing-consent at the originating platform, and that we have applied reasonable verification and de-duplication processes.
To the maximum extent permitted by law, the Services are otherwise provided "as is". We do not warrant that every record will remain valid, deliverable, or interested in the Customer's specific offer. The Customer is responsible for evaluating the Dataset's fit for its use case before deployment.
8. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited under English law.
Subject to that, our aggregate liability to the Customer in respect of any claim arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Customer to us in the 12 months preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, or pure-economic loss; loss of profit, revenue, business, or goodwill; or loss of or corruption to data, however arising.
9. Indemnity
The Customer agrees to indemnify, defend, and hold harmless Stratford Insights from and against any third-party claim, regulatory action, fine, or liability (including reasonable legal fees) arising out of the Customer's breach of these Terms — including unlawful or excessive use of the Dataset, failure to honour Data Subject requests, or use beyond the scope of the original marketing consent.
10. Term and termination
These Terms apply from the date of your first Order and continue until terminated. We may suspend or terminate access immediately if you breach a material term, including any data-protection or licence-scope obligation. Sections that by their nature should survive termination (including Limitation of liability, Indemnity, and Governing law) shall do so.
11. Confidentiality
Each party shall keep confidential any non-public information disclosed to it by the other party and use such information only for the purpose of performing its obligations under these Terms.
12. Force majeure
Neither party shall be liable for any failure or delay in performance caused by an event beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, internet outage, or labour dispute.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Services after a change constitutes acceptance of the revised Terms.
14. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
